Terms of Service

1. Who we are
Brocur ("Brocur," "we," "us") operates an invite-only marketplace where members of private groups list used personal goods for sale to other members and arrange local pickup. Brocur provides the venue; Brocur is not a party to any sale. Each item is sold by the member who listed it (the "Seller") to the member who bought it (the "Buyer"). The Seller is the seller and merchant of record for every transaction.
2. Eligibility and membership
Brocur is available only in the United States and only to individuals 18 years of age or older. Membership is by invitation. You must provide accurate information when you register and keep your account information current. Your account is personal to you and may not be shared or transferred. We may decline, suspend, or remove any membership at our discretion, including for violation of these Terms or conduct that harms other members or the platform.
3. The service
Members may list used personal goods for sale, including photographs, a price, a pickup location, and available pickup times. A Buyer who purchases an item selects from the Seller's available pickup times; the Seller confirms the date and time; the Buyer picks the item up in person; and both parties then confirm in the app that the pickup occurred. All transactions are local pickup only. Brocur does not ship, deliver, store, inspect, or take possession of any item, and does not set prices.
4. Payments
Payments are processed by Stripe, Inc. ("Stripe"). Each Seller must maintain a Stripe connected account, and payments are subject to Stripe's applicable terms of service. All prices are in U.S. dollars (USD).
When a Buyer purchases an item, the Buyer commits to the purchase for the total shown at checkout: the item price, Brocur's service fee, and applicable sales tax. By purchasing, the Buyer authorizes Brocur, through Stripe, to securely save the Buyer's payment method for that transaction, to place a temporary hold on it in connection with the scheduled pickup, and to charge it when pickup is confirmed. The Buyer's card is charged only after both Buyer and Seller confirm that pickup occurred. If a hold cannot be placed on the saved payment method, the Buyer will be prompted to resolve the payment issue; if it is not resolved in time, the transaction may be cancelled and the item released to another member. If the transaction is cancelled or expires before pickup is confirmed, any pending hold is released and the Buyer is not charged. Charges appear on card statements with the descriptor "BROCUR*" followed by the Seller's name.
5. Sales tax
Brocur collects and remits sales tax on taxable transactions as a marketplace facilitator where required by law. Tax is calculated at checkout based on the pickup location and shown to the Buyer before purchase.
6. Cancellation before pickup
Either party may cancel a transaction at any time before pickup is confirmed. Because the Buyer's card is not charged until pickup is confirmed, cancellation before pickup means no charge is made; any pending hold on the Buyer's card is released. If pickup does not occur before the transaction's deadline, the transaction expires automatically with the same effect.
7. Pickup, acceptance, and post-pickup issues
The Buyer should inspect the item at pickup. Confirming pickup in the app constitutes the Buyer's acceptance of the item and authorizes the charge. Sales are final upon confirmed pickup, except as described in our Refund & Cancellation Policy or as required by applicable law. Post-pickup issues between Buyer and Seller are handled through Brocur's support process described in that policy.
8. Member conduct and prohibited items
Members may list only used personal goods that they own and may lawfully sell. Without limitation, members may not list: firearms, ammunition, or weapons; alcohol, tobacco, cannabis, or drugs; recalled or counterfeit goods; hazardous materials; live animals; stolen property; or any item whose sale is restricted or prohibited by law or by Stripe's restricted business terms. Members may not use Brocur to conduct commercial retail activity, may not complete or attempt to complete off-platform any transaction initiated on Brocur, and may not harass other members or misuse information obtained through the service.
9. Content
Members retain ownership of the photographs and descriptions they post, and grant Brocur a non-exclusive license to host, display, and use that content to operate and promote the service. Members are responsible for the accuracy of their listings.
10. Disclaimers
Items are sold by Sellers, not by Brocur, and are sold as used goods. To the maximum extent permitted by law, Brocur disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, with respect to both the service and the items sold by Sellers. Brocur does not guarantee the quality, safety, legality, or description of any item, or the conduct of any member.
11. Limitation of liability
To the maximum extent permitted by law, Brocur's aggregate liability arising out of or relating to the service or any transaction will not exceed the greater of the fees Brocur received for the transaction giving rise to the claim or one hundred dollars ($100), and Brocur will not be liable for indirect, incidental, special, consequential, or punitive damages.
12. Indemnification
You agree to indemnify and hold Brocur harmless from claims arising out of your listings, your items, your transactions, your violation of these Terms, or your violation of law or third-party rights.
13. Governing law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules.
14. Changes; termination
We may update these Terms by posting a revised version with a new effective date; material changes will be notified through the app. We may suspend or terminate the service or any account as described in Section 2. Sections that by their nature should survive termination do survive.
